BYLAWS OF CUMBERLAND COMMUNITY SCHOOLS SOCIETY

Part 1. Interpretation

  1. In these bylaws; unless the context otherwise required
    1. “Member" means those person who have become members in accordance with these Bylaws;
    2. “Directors" means members of the society who have been appointed to the Board of Directors of the Society;
    3. "Catchment" area means that area identified by School District 71 as the enrollment area for Cumberland Elementary School;
    4. "Registered Address" of a member means his/her address of common abode; and
    5. "Village of Cumberland" shall mean the area contained within the Comox Valley in the Province of British Columbia.

Part 2. Membership and voting powers

  1. The members of the Society are the applicants of the Cumberland Community Schools Society and those persons who subsequently become members in accordance with these Bylaws and, in either case, have not ceased to be members.
  2. Membership is open to all persons within School District #71
  3. Every member shall uphold the Constitution and comply with these Bylaws.
  4. There shall be no membership dues.
  5. Each member in good standing at the general meeting is entitled to one vote.
  6. A person shall cease to be a member of the Society
    1. By delivering his/her resignation;
    2. On dissolution of the Society; and
    3. On being expelled by 2/3 vote of the Society Resolution.
  7. All members are in good standing until expelled.

Part 3. Executive Board of Directors

  1. Members of the Society will appoint members to the Executive Board as Directors of the Society, as follows;
    1. The Directors of the Society shall consist of volunteers up to a maximum of eight (8);
    2. One Director from Cumberland Elementary School may be elected to form part of the Society. This may include a member of the school executive or teaching staff;
    3. All Directors have a vote in any of the proceedings of the Board of Directors of the Society;
    4. The Directors of the Society may, from time to time elect or otherwise appoint, Ex-officio Directors whose presence will add expertise, knowledge or will serve to enhance the purposes of the Society. Ex-officio Directors shall have no vote in any proceedings;
    5. Individual project supervisors are considered Ex-officio to the Executive Board.
  2. Board Executive
    1. The positions of Chair, Vice-Chair and Secretary/Treasurer  will be held by voting Directors by appointment or election; and
    2. A Director must not be remunerated for being or acting as a Director but a Director must be reimbursed for all expenses necessarily and reasonably incurred by the Director while engaged in the affairs of the society that where approved by the Boards
    3. An educational coordinator is considered an Ex-officio member of the Executive Boards
  3. Duties of Executive Directors
    1. The president presides at all meetings of the Society and of the Directors.
    2. The president is the Chief Executive Officer of the Society and must supervise the other Officers in the execution of their duties
    3. The Vice President must carry out the duties of the President during the President’s absence
    4. The offices of the Secretary and Treasurer may be held by one person who is to be known as the Secretary Treasurer.
    5. If the Secretary Treasurer holds office; the total number of the directors must not be less than 5 or a greater number determined from time to time at a general meeting
    6. The Secretary must do the following;
      1. conduct the correspondence of the Society;
      2. issue notices of meetings of the Society and Directors:
      3. keep minutes of all meetings of the Society and Directors;
      4. have custody of all records and documents of the Society except those required to be kept by the Treasurer;
      5. have custody of the common seal of the society; _
      6. maintain the register of members.
    7. The treasurer must;
      1. keep the financial records; including books of the account; necessary to comply with the Society Act; and
      2. render financial statements to the Directors; Members and others when required.

Part 4. Meeting of Members

  1. General meetings of the Society shall be held at such time and place as directed by the Board of Directors with 14 days written notice to members.
  2. Executive meetings are at the call of the Chair.
  3. Executive Board may convene an extraordinary general meeting whenever they deem fit.
  4. An Annual General Meeting is required.

Part 5. Proceedings at Meetings

  1. All meetings will adopt an Agenda and should include the following;
    1. Call to order;
    2. Adoption of agenda;
    3. Adoption of previous meetings;
    4. Presentation;
    5. Correspondence;
    6. Project reports (update);
    7. Coordinators report;
    8. Financial report;
    9. Other reports;
    10. New business; and
    11. Adjournment.
  2. A quorum is three members present with one being a Board Executive.
  3. If within 30 minutes from the time appointed for a general meeting a quorum is not present the meeting shall be terminated and shall stand adjourned to the same day in the  next week.
  4. Each Member in good standing at a meeting of members is entitled to one vote.
  5. Voting is by show of hands.
  6. Voting by proxy is not permitted.

Part 6. Seal

  1. The Directors may provide a common seal of the Society and may be affixed to Stationary when authorized by a resolution of the Directors.

Part 7. Funding

  1. All funding and control of financial resources for projects are controlled by the Cumberland Community Schools Society.
    1. A registered non—profit society is required as the sponsor group for funding and grants;
    2. The Society has no borrowing powers under these bylaws, and
    3. The Society may apply for grants for individual projects or the good of all activities.

Part 8. Auditor

  1. The appointment of an auditor only applies when required by a funding agency or resolved by the Society and or on dissolution of the Society.

Part 9. Notices to Members

  1. A notice may be given to Members in writing at their place of business or home by mail, email, fax or public posting.

Part 10. Bylaws

  1. On being admitted to the Society, a member is entitled to without charge, a copy of the Constitution and bylaws of the Cumberland Community Schools Society.
  2. These bylaws shall not be altered or added to except by special resolution.

Part 11. Coordination

  1. In the case where there is a scheduling conflict between Cumberland Elementary School and the Society, priority will be given to Cumberland Elementary School, providing the School has given adequate notice.
